1. Acceptance of Terms

By accessing this website or engaging Shop Engine LLC (“Shop Engine,” “we,” “our,” or “us”) for marketing services, you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service.

If you do not agree, do not use this website or engage our services.

2. Description of Services

Shop Engine is a full-service marketing agency providing services that may include:

  • Paid advertising strategy and management (Meta, Google, TikTok, etc.)

  • Email and SMS marketing strategy and execution

  • Conversion rate optimization (CRO)

  • Funnel development

  • Marketing audits and consulting

  • Creative direction and copywriting

  • Analytics setup and reporting

  • Strategic growth consulting

Scope of services for each client is defined in a separate written agreement, proposal, or invoice (“Service Agreement”).

3. No Guarantee of Results

Marketing performance depends on numerous variables outside our control, including but not limited to:

  • Market conditions

  • Competition

  • Platform algorithm changes

  • Product-market fit

  • Pricing and margins

  • Supply chain constraints

  • Client execution

Unless explicitly stated in a signed Service Agreement, Shop Engine does not guarantee specific revenue, profit, ROAS, traffic, or performance outcomes.

Past performance is not indicative of future results.

4. Client Responsibilities

Client agrees to:

  1. Provide accurate and complete information.

  2. Maintain active access to required platforms (ad accounts, Shopify, Klaviyo, analytics tools, etc.).

  3. Approve creative, copy, and strategy in a timely manner.

  4. Maintain adequate inventory and fulfillment capability.

  5. Comply with all applicable laws and advertising regulations.

Delays in approvals or access may impact performance and timelines.

5. Payment Terms

  • Fees are outlined in the applicable Service Agreement or invoice.

  • Payments are due as stated in the agreement.

  • Late payments may result in suspension of services.

  • Fees are non-refundable unless otherwise stated in writing.

  • Ad spend and third-party platform fees are separate from agency fees.

Shop Engine reserves the right to modify pricing with notice prior to renewal or continuation of services.

6. Termination

Either party may terminate services in accordance with the Service Agreement.

Unless otherwise stated:

  • Written notice is required.

  • Outstanding balances remain due.

  • Work completed prior to termination is billable.

Shop Engine may terminate services immediately if Client violates these Terms or applicable laws.

7. Intellectual Property

7.1 Client Materials

Client retains ownership of trademarks, products, and proprietary content provided to Shop Engine.

7.2 Agency Work Product

Upon full payment, Client receives a license to use deliverables created specifically for Client.

Shop Engine retains ownership of:

  • Internal systems

  • Frameworks

  • Methodologies

  • Templates

  • Proprietary processes

  • Training materials

These may not be copied, resold, or redistributed without written permission.

8. Confidentiality

Both parties agree to maintain confidentiality of:

  • Financial information

  • Marketing strategies

  • Customer data

  • Trade secrets

  • Business operations

Confidential information shall not be disclosed without written consent except where required by law.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Shop Engine is not liable for indirect, incidental, special, or consequential damages.

  • Total liability shall not exceed the amount paid to Shop Engine in the preceding three (3) months.

We are not responsible for:

  • Platform suspensions

  • Account bans

  • Ad disapprovals

  • Algorithm changes

  • Third-party service outages

10. Indemnification

Client agrees to indemnify and hold harmless Shop Engine from any claims arising from:

  • Client products or services

  • Misleading advertising claims

  • Regulatory violations

  • Customer disputes

Client is solely responsible for product compliance, claims, and fulfillment.

11. Third-Party Platforms

Shop Engine works with third-party platforms including but not limited to:

  • Meta

  • Google

  • TikTok

  • Klaviyo

  • Shopify

We do not control these platforms and are not responsible for their policies, outages, or changes.

Client agrees to comply with all third-party platform terms.

12. Website Use

By using our website, you agree not to:

  • Attempt unauthorized access

  • Reverse engineer materials

  • Copy proprietary content

  • Use the site for unlawful purposes

All website content is owned by Shop Engine unless otherwise noted.

13. Testimonials and Case Studies

Client grants Shop Engine permission to reference the Client’s brand name, logo, and performance results for marketing purposes unless otherwise agreed in writing.

If confidentiality is required, it must be explicitly stated in the Service Agreement.

14. Dispute Resolution

These Terms are governed by the laws of the State of [Insert State].

Any disputes shall first be attempted to be resolved in good faith negotiation.

If unresolved, disputes shall be settled through binding arbitration in [Insert County, State], unless otherwise agreed.

15. Modifications
